Methanol Chemicals Co.’s (Chemanol) shareholders are set to vote on audited financial statements, as well as audit and board reports for 2021, during the ordinary general meeting (OGM) slated for June 16.
In a bourse statement, the company said shareholders will vote on raising the number of audit committee seats to four seats from three for a period starting from the date of the OGM’s approval until the end of the current term by November 11, 2024.
They will also elect external auditors to audit the company’s financial statements for Q2, Q3, Q4 2022 and 2022, as well as Q1 2023.
Other agenda items include the vote on delegating the board of directors with the OGM powers for one year from the shareholders’ approval date or until the end of the board term, whichever is earlier.
Shareholders will also vote on the remuneration policy for board members, committees and senior executives, as well as board membership policies and standards. That is in addition to nomination and remuneration committee regulations, along with the audit committee regulations.
They will also vote on amending 12 articles of the company’s bylaws related to the share issuance, capital increase, board of directors structure and membership termination, profit distribution, as well as powers of the board and CEO.
The meeting will be held virtually. Shareholders registered in Tadawulaty system can start voting on the agenda from June 12.
